The twin merger: special reference to the assumption of multiple shareholders ownership

Abstract

Law 3/2009, 3rd. April, of commercial companies mergers and acquisitions, stablishes a simplified merger procedure when participating companies are owned by the same shareholder (art. 52.1 LME). This merger type is known as twin merger and poses a large quantity of interpretative problems. This work’s purpose is to study some of the main questions raised by the twin merger regulation.
